Nothing in these Terms of Use will be construed to obligate us to maintain and support the Site or to supply any corrections, updates, or releases in connection therewith.

16. GOVERNING LAW AND VENUE FOR NON-ARBITRABLE CLAIMS

(a) Governing Law. These Terms of Use, your access to and use of the Site, and any dispute, claim, or controversy arising out of or relating to these Terms of Use, the Privacy Policy, our services, or any communications sent by or on behalf of us (whether in contract, tort, statutory, common law, or otherwise) shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict-of-law principles, except to the extent that: (i) the Federal Arbitration Act (“FAA”) governs the interpretation and enforcement of Section 17 (Dispute Resolution and Binding Arbitration Agreement); and (ii) mandatory, nonwaivable consumer protection laws of your state of residence require the application of such state’s law.

(b) Forum and Venue for Non-Arbitrated Matters. For any dispute, claim, or proceeding that is found not subject to arbitration under Section 17, or for any judicial proceeding properly brought to compel arbitration, stay litigation, enforce an arbitral award, or seek preliminary injunctive relief in aid of arbitration as permitted herein, you and KPCB Edge irrevocably submit to the exclusive jurisdiction and venue of the Third Judicial District Court in and for Salt Lake County, State of Utah, or the United States District Court for the District of Utah (Central Division). You and KPCB Edge waive any and all defenses of lack of personal jurisdiction, improper venue, or forum non conveniens with respect to such courts.

17. DISPUTE RESOLUTION AND BINDING ARBITRATION AGREEMENT

**PLEASE READ THIS SECTION CAREFULLY. IT MATERIALLY AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT, HAVE A JURY HEAR YOUR CLAIMS, AND PARTICIPATE IN A CLASS ACTION.

(a) Scope of Arbitration Agreement.** To the fullest extent permitted by law, you and KPCB Edge mutually agree that any and all disputes, claims, counterclaims, or controversies arising out of, relating to, or concerning in any way:

  1. these Terms of Use, the Privacy Policy, or any supplemental terms;
  2. the Site, mobile applications, Content, services, or products;
  3. any advertisements, promotional campaigns, leads, or representations made by or on behalf of us;
  4. any communications sent by or on behalf of us or third-party service providers (including, without limitation, calls, artificial or prerecorded voice messages, automated text messages/SMS, ringless voicemails, emails, push notifications, or direct marketing); and/or
  5. any alleged violation of any federal, state, or municipal statute, regulation, or common-law doctrine—specifically including, without limitation, the Telephone Consumer Protection Act (47 U.S.C. § 227 et seq.) (“TCPA”), the Telemarketing Sales Rule (16 C.F.R. Part 310), the CAN-SPAM Act (15 U.S.C. § 7701 et seq.), the Fair Credit Reporting Act (15 U.S.C. § 1681 et seq.), the Utah Consumer Sales Practices Act (Utah Code Ann. § 13-11-1 et seq.), the Utah Telephone and Facsimile Solicitation Act (Utah Code Ann. § 13-25a-101 et seq.), state automatic dialing and privacy statutes, and any state or federal unfair and deceptive trade practices statutes shall be resolved exclusively through final and binding individual arbitration administered by the American Arbitration Association (“AAA”) pursuant to the Federal Arbitration Act (9 U.S.C. § 1 et seq.) and the AAA Consumer Arbitration Rules then in effect, except as modified by this Agreement.

(b) Delegation Provision. The arbitrator—and not any federal, state, or local court or agency—shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, scope, enforceability, revocability, or formation of this Section 17, including, but not limited to, any claim that all or any part of this Section 17 is void or voidable. However, any dispute regarding the enforceability, validity, or severability of the Class Action Waiver in Section 17(e) or the Mass Arbitration procedures in Section 17(g) shall be decided solely by a court of competent jurisdiction under Section 16(b).

(c) Exceptions to Arbitration. Notwithstanding the foregoing, either party may: (1) bring an individual action in small claims court having competent jurisdiction; and (2) seek emergency, provisional, or preliminary injunctive relief in a court of competent jurisdiction under Section 16(b) to preserve the status quo or prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or data security breaches.

(d) Mandatory Informal Pre-Dispute Resolution. Before initiating arbitration, the claimant must send a written notice of dispute containing: (1) the claimant’s full legal name, telephone number, mailing address, and registered email address; (2) a detailed factual description of the nature and basis of the dispute; and (3) the specific financial and equitable relief sought, including an itemized calculation of alleged damages. The notice must be personally signed by the claimant (and claimant’s counsel, if represented) and emailed to our contact form or mailed via certified mail to: Perry Marketing LLC, 30 N Gould St Ste R, Sheridan, WY 82801. For a period of sixty (60) days following receipt of a complete notice, the parties shall engage in good-faith informal negotiations to resolve the dispute. Any applicable statute of limitations shall be tolled during this 60-day window. Completion of this informal dispute resolution conference is a mandatory condition precedent to filing any demand for arbitration; if an arbitration is initiated without fully satisfying this provision, the AAA shall administratively close the file upon notice from the respondent.

(e) Class, Collective, and Representative Action Waiver. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ALL CLAIMS MUST BE BROUGHT IN THE PARTIES' INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF, CLASS REPRESENTATIVE, OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, REPRESENTATIVE, MULTIPLE-PLAINTIFF, OR PRIVATE ATTORNEY GENERAL PROCEEDING. The arbitrator may award declaratory or injunctive relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party's individual claim. Unless all affected parties agree in writing, the arbitrator may not consolidate more than one person’s claims. If a final, non-appealable judicial determination finds this waiver unenforceable as to a particular claim or request for public injunctive relief, that specific claim or request shall be severed and litigated in court under Section 16(b), while all other claims remain subject to binding individual arbitration.

(f) Arbitration Location and Rules. Arbitration hearings shall take place remotely via videoconference or telephone, unless the arbitrator determines an in-person hearing is necessary, in which case the hearing shall take place in Salt Lake County, Utah, or in the county of your residence if required by AAA rules or applicable law. Payment of filing, administration, and arbitrator fees will be governed by the applicable AAA rules. Each party shall bear its own attorneys' fees and costs unless the arbitrator awards fees and costs pursuant to an applicable statutory fee-shifting provision or upon finding that a claim, defense, or motion was frivolous or brought for an improper purpose under Federal Rule of Civil Procedure 11 standards.

(g) Mass Arbitration Protocol.

To ensure the fair, orderly, and cost-effective resolution of coordinated disputes, the parties agree that if twenty-five (25) or more individual demands for arbitration of a similar nature, asserting common questions of fact or law, and represented by the same counsel or coordinated counsel, are submitted against KPCB Edge within a ninety (90) day period (“Mass Filing”), the following procedures shall govern:

(1) Application of Supplementary Rules & Process Arbitrator. The American Arbitration Association (“AAA”) Mass Arbitration Supplementary Rules then in effect shall apply, as supplemented and modified by this subsection (g). Upon initiation of a Mass Filing, the parties shall jointly request that the AAA appoint a single Process Arbitrator to determine all administrative and preliminary threshold matters, including: (i) whether the individual claims meet the criteria of a Mass Filing; (ii) whether claimants have satisfied the mandatory pre-dispute resolution and notice requirements under Section 17(d); (iii) whether counsel has complied with the verified claim attestation requirements in subsection (g)(2); and (iv) the proper scheduling of batch proceedings.

(2) Verified Claim Attestation. As a mandatory condition precedent to filing any demand in a Mass Filing, each claimant (and claimant's counsel) must execute and submit an individualized, signed affirmation stating under penalty of perjury: (i) the claimant's verified legal identity and physical address; (ii) the date(s) and specific phone number(s) or email address(es) used on the Site; (iii) the specific communications received; and (iv) that counsel has conducted a reasonable inquiry under the standards of Federal Rule of Civil Procedure 11 to confirm that the claimant is not fictitious, duplicative, or unverified. Fictitious or unverified demands shall be dismissed by the Process Arbitrator with prejudice.

(3) Sequential Batching of Claims. Following the Process Arbitrator’s determination of threshold issues, the remaining eligible claims shall be administered in successive batches of fifty (50) claims per batch:

(A) In each batch, claimants’ counsel and KPCB Edge shall each select twenty-five (25) demands to proceed.

(B) Only the selected fifty (50) claims shall be filed with, administered by, or assessed fees by the AAA. Any filing, administrative, or arbitrator fees for claims outside the active batch shall not be assessed or deemed payable, and the non-payment of fees for unbatched claims shall not constitute a default, breach, or waiver of arbitration by KPCB Edge.

(C) During the pendency of a batch, all remaining demands in the Mass Filing shall remain stayed, and any applicable statutes of limitations shall remain tolled from the date of the claimant's initial notice of dispute until their batch is initiated.

(D) A single merits arbitrator shall be appointed per batch (unless the parties agree otherwise). Virtual hearings shall serve as the default hearing format.

(4) Mandatory Global Mediation. Following the issuance of final arbitral awards in the first batch, the parties agree to participate in a mandatory, global mediation facilitated by a single mediator appointed by the AAA. The mediation shall occur within sixty (60) days after the conclusion of the first batch, during which the parties shall confer in good faith to resolve the remaining claims based on the rulings and outcomes of the initial batch.

(5) Successive Batches and Safety Valve. If global mediation does not resolve the remaining claims, the second batch of fifty (50) claims shall proceed under the same procedure. If the remaining claims in a Mass Filing are not resolved within two (2) years following the appointment of the Process Arbitrator, any claimant whose claim has not yet been batched may elect either to: (i) remain in the batching queue with continued tolling of the statute of limitations; or (ii) withdraw their arbitration demand and pursue their claim solely in an individual capacity in small claims court or in the judicial courts specified in Section 16(b).

(6) Judicial Enforcement. The courts specified in Section 16(b) shall have exclusive jurisdiction to enforce this Mass Arbitration protocol, enjoin any demands or administrative fee assessments issued in violation of this subsection, and award reasonable attorneys' fees incurred in enforcing compliance with this provision.

(h) Limitation Period. To the extent permitted by law, any claim, action, or proceeding arising out of or related to the Site, our services, communications, or these Terms must be commenced within one (1) year after the cause of action accrued, or such claim shall be permanently barred.

(i) 30-Day Right to Opt Out. You have the right to opt out of the provisions of this Section 17 by sending written notice of your decision to opt out to our contact form within thirty (30) days after first becoming subject to these Terms of Use. Your notice must include: (1) your full legal name; (2) your verified mailing address; (3) the telephone number(s) and email address(es) associated with your use of the Site; and (4) an unambiguous, signed statement that you wish to opt out of the Dispute Resolution and Binding Arbitration Agreement. If you send a timely opt-out notice, all other parts of these Terms of Use will continue to apply to you, but neither you nor KPCB Edge will be bound by the arbitration agreement or class action waiver set forth in this Section 17, and any claims shall be subject to the exclusive forum and venue provisions of Section 16(b).

25. MISCELLANEOUS

These Terms of Use and any policies or operating rules posted by us on the Site or in respect to the Site constitute the entire agreement and understanding between you and us. Our failure to exercise or enforce any right or provision of these Terms of Use shall not operate as a waiver of such right or provision. These Terms of Use operate to the fullest extent permissible by law. We may assign any or all of our rights and obligations to others at any time. We shall not be responsible or liable for any loss, damage, delay, or failure to act caused by any cause beyond our reasonable control. If any provision or part of a provision of these Terms of Use is determined to be unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from these Terms of Use and does not affect the validity and enforceability of any remaining provisions. There is no joint venture, partnership, employment or agency relationship created between you and us as a result of these Terms of Use or use of the Site. You agree that these Terms of Use will not be construed against us by virtue of having drafted them. You hereby waive any and all defenses you may have based on the electronic form of these Terms of Use and the lack of signing by the parties hereto to execute these Terms of Use.

(a) Express Written Consent to Communications. By submitting your telephone number, checking any marketing or property-inquiry consent box, or utilizing our Site, you provide your express written consent (within the meaning of the Telephone Consumer Protection Act, 47 U.S.C. § 227, and applicable state telemarketing laws) authorizing KPCB Edge (Perry Marketing LLC) and its affiliates to deliver marketing, informational, transactional, and promotional communications to you at the phone number(s) provided. Where you submit an inquiry regarding a specific property or listing and affirmatively select an optional, separate consent box naming an individual third-party property management company or service provider, you authorize that specifically named third party to contact you regarding your inquiry. These communications may include:

  1. text messages (SMS and MMS);
  2. artificial, prerecorded, or synthesized voice calls;
  3. calls placed using automated telephone dialing systems (ATDS) or predictive dialers; and
  4. emails and push notifications.

Such communications may relate to housing availability, listing alerts, application guides, credit-repair or related housing services, customer support, and commercial promotions.

(b) Consent Not a Condition of Service. Consent to receive marketing calls and text messages is not required as a condition of purchasing any goods, software, or services, accessing contact information, or browsing the Site. Standard message frequency varies. Message and data rates may apply pursuant to your cellular carrier contract.

(c) Revocation and Opt-Out Procedures. You have the right to revoke your consent to receive text messages and automated telephone calls at any time:

  1. Text Messages (SMS/MMS): To stop receiving text messages from KPCB Edge, you must reply directly to any text message received with any of the following universal single-word commands: STOP, QUIT, END, REVOKE, OPT OUT, CANCEL, or UNSUBSCRIBE. Upon receipt of your opt-out command, we will process your request and may send one (1) final text message confirming your unsubscription. If you have opted into separate messaging channels (such as individual property managers operating under separate shortcodes or long codes via Tenant Relay or other vendors), you must reply STOP directly within that specific messaging thread to terminate communications from that sender.
  2. Telephone Calls: To opt out of telephone marketing calls, you may make an express oral request to our representative during any call, or you may submit a written opt-out notice specifying the telephone number to be placed on our internal Do-Not-Call list by emailing our contact form with the subject line “Do Not Call Request.”
  3. Emails: To opt out of commercial emails, click the “Unsubscribe” link located at the bottom of any marketing email.
  4. Processing Standard: We will process all valid revocation requests as promptly as practicable and within all timeframes required by applicable federal and state regulations (not to exceed ten (10) business days). While you may revoke consent by any reasonable method that clearly conveys your intent, utilizing the designated automated mechanisms set forth in subsections (1)–(3) ensures immediate and accurate processing across our systems.

28. FEES

Generally. You may be required to pay fees to access certain features of the Site. All fees are in U.S. dollars and are non-refundable. If we change the fees for all or part of any of the Site, including by adding fees or charges, we will provide you advance notice of those changes. If you do not accept the changes, we may discontinue providing the applicable part of the Site to you. Our authorized third-party payment processors will charge the payment method you specified at the time of purchase or as agreed to as part of the selected feature. You authorize us to charge all fees as described in these Terms of Use for the features you select to that payment method. If you pay any fees with a credit card, we may seek pre-authorization of your credit card account before your purchase to verify that the credit card is valid and has the necessary funds or credit available to cover your purchase.

Subscriptions. The Site may include features that allow for automatically recurring payments for periodic charges (“Subscription Service”). If you decide to activate a Subscription Service, you authorize us to periodically charge, on a going-forward basis and until cancellation of either the recurring payments or your account, all accrued sums on or before the payment due date for the accrued sums. The subscription will continue unless and until you cancel your subscription, or we terminate it. You must cancel your Subscription Service before it renews in order to avoid billing of the next periodic subscription fee to your account. We will bill the periodic subscription fee to the payment method you provide to us during registration (or to a different payment method if you change your payment information). We may change the subscription fee for any subsequent subscription period but will provide you advance notice of any increase before it applies. Unless otherwise stated in your Product’s Terms, you may cancel a Subscription Service at any time directly through the settings page in your account (which provides immediate, automated online cancellation) or by contacting us at our contact form. Cancellations take effect at the conclusion of the then-current billing period.
